These Terms of Use (“Terms”) govern your access to and use of the Quantidia websites and electronic signature platform (together, the “Services”), operated by Quantidia. By accessing or using the Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you confirm that you have the authority to bind that organisation.
2. Description of the Services
Quantidia provides electronic signature, digital certificate and related trust services, including Simple, Advanced, Digital, Graphometric and Biometric Signature methods, designed to help organisations sign, manage and preserve electronic documents in compliance with applicable regulations such as eIDAS.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorised use of your account or any other breach of security.
4. Acceptable Use
You agree not to use the Services to: violate any applicable law or regulation; infringe the intellectual property or other rights of any third party; upload or transmit malicious code; attempt to gain unauthorised access to our systems; or use the Services to create fraudulent, deceptive or forged signatures or documents.
5. Intellectual Property
The Services, including all software, text, graphics and trademarks, are owned by Quantidia or our licensors and are protected by intellectual property laws. These Terms do not grant you any right, title or interest in the Services other than the limited right to use them as intended.
6. Fees and Payment
Use of certain features of the Services may require payment of fees as agreed in a separate order form, subscription agreement or commercial proposal with Quantidia. Unless stated otherwise, fees are non-refundable.
7. Disclaimers and Limitation of Liability
The Services are provided “as is” and “as available”. To the maximum extent permitted by applicable law, Quantidia disclaims all warranties, express or implied, and shall not be liable for indirect, incidental or consequential damages arising from your use of the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Termination
We may suspend or terminate your access to the Services if you breach these Terms or if required to do so by law. You may stop using the Services at any time, subject to any separate contractual commitments in place with Quantidia.
9. Governing Law
These Terms are governed by the laws applicable in the jurisdiction specified in your commercial agreement with Quantidia, or, in the absence of such agreement, the laws of the jurisdiction in which Quantidia is established, without regard to conflict of law principles.
10. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services or in applicable law. We will post the updated Terms on this page, and continued use of the Services after such changes constitutes acceptance of the updated Terms.
